All services are delivered under written or digital agreements with each client.
2. Client Responsibilities
To ensure smooth and compliant operations, clients agree to:
- Provide accurate, updated, and complete information.
- Supply required documents and credentials promptly.
- Maintain active communication for service coordination.
- Use our reports, dashboards, and software responsibly and securely.
Failure to provide timely or accurate data may delay results or impact billing accuracy.
3. Data Privacy & Security
We follow HIPAA and international data protection laws to keep all Protected Health Information (PHI) and business data safe.
- All communications are encrypted.
- Access is restricted to authorized personnel only.
- Business Associate Agreements (BAAs) are signed where required.
- We do not sell, rent, or share client information with third parties.

4. Communication Policy
By using our services or submitting your contact details, you consent to communication via:
- Phone calls, emails, or SMS for service-related updates.
- RingCentral, our official communication tool for secure collaboration.
We never send marketing or promotional messages without consent.
Clients may opt out of SMS communication anytime by replying STOP.
5. Payment Terms
- Fees are defined in the client’s agreement or proposal.
- Payments may be based on a percentage of collections, flat monthly fee, or custom model.
- Invoices must be paid within the agreed timeframe (usually 15–30 days).
- Late payments may lead to service suspension until the account is settled.
- All amounts are due in USD unless otherwise stated.
6. Refund Policy
Due to the nature of professional services, NimSol does not provide refunds once work has begun.
In special cases where errors are proven to be from NimSol’s side, corrective action or credit adjustment may be offered at management’s discretion.
7. Limitation of Liability
NimSol LLC is not liable for:
- Delays caused by inaccurate or missing information from clients.
- System outages, third-party software downtime, or unforeseen events (force majeure).
- Indirect, incidental, or consequential damages, including data loss or revenue delays.
Our total liability under any agreement is limited to the amount paid for services during the last 3 months.
8. Termination of Service
Either party may terminate the agreement with written notice (typically 30 days).
After termination:
- All pending invoices must be cleared.
- Client data is securely archived or deleted as per HIPAA standards.
- Communication will end unless initiated again by the client.
9. Intellectual Property
All templates, workflows, training materials, and systems created by NimSol remain our property.
Clients own their own billing data, reports, and records generated from our work.
10. Compliance
NimSol LLC complies with:
- HIPAA (Health Insurance Portability and Accountability Act)
- CMS (Centers for Medicare & Medicaid Services) guidelines
- U.S. federal and state regulations related to healthcare data handling
All staff receive annual compliance training to maintain standards.
11. Modifications to Terms
NimSol may update these Terms from time to time to reflect new regulations or service improvements.
The updated Terms will be posted on our website with a new effective date.
Continued use of our services after updates means you accept the revised Terms.
12. Governing Law
These Terms are governed by and construed under the laws of the State of New York, USA, regardless of conflict of law principles.
